4. Engagement Process
4.1 Initial Consultation
Initial consultations are exploratory and help both parties assess fit. No advisory relationship is established through initial consultation. Confidential information should not be shared until a formal engagement agreement is executed.
4.2 Engagement Agreement
Consulting services are provided only upon execution of a written engagement agreement specifying scope, deliverables, timeline, fees, confidentiality obligations, and other engagement-specific terms. The engagement agreement supersedes any conflicting provisions in these general terms.
4.3 Scope Modifications
Changes to engagement scope require written agreement from both parties and may result in adjusted fees and timeline. We reserve the right to decline scope modifications that would compromise quality or create conflicts with our professional standards.
5. Payment Terms
5.1 Fees and Pricing
Consulting fees are specified in engagement agreements and are based on fixed engagement pricing. Fees are quoted in Hong Kong Dollars (HKD) unless otherwise specified. Pricing displayed on our website is indicative and subject to confirmation in engagement agreements.
5.2 Payment Schedule
Payment terms are specified in engagement agreements. Typical arrangements include initial retainer payment upon engagement commencement and final payment upon deliverable completion. Late payments may incur interest charges as permitted by Hong Kong law.
5.3 Expenses
Unless otherwise specified in the engagement agreement, fees include ordinary business expenses. Extraordinary expenses requiring client pre-approval will be itemized separately.

Upon full payment of fees, clients receive a limited, non-exclusive license to use deliverables for internal business purposes. This license does not include rights to modify, redistribute, or use deliverables for commercial purposes outside your organization without additional written agreement.
6.3 Methodologies and Frameworks
Our consulting methodologies, analytical frameworks, and process documentation remain our proprietary intellectual property. Clients may use these tools for purposes specified in engagement agreements but may not transfer or license them to third parties.
7. Confidentiality
We treat client information as confidential and implement appropriate safeguards. Confidentiality obligations are detailed in engagement agreements and typically include:
- Non-disclosure of client identity and engagement details without permission
- Secure handling and storage of client documents and data
- Restriction of information access to engagement team members
- Return or destruction of confidential materials upon engagement completion
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law. We may disclose engagement information with client permission for case studies or references.
8. Disclaimers and Limitations
8.1 Service Provision
Consulting services are provided based on information available at the time of engagement and reflect our professional judgment. We do not guarantee specific business outcomes or results. Clients are responsible for decisions made based on our recommendations.

10. Termination

We reserve the right to suspend or terminate website access for any user who violates these terms or engages in conduct we deem inappropriate or harmful.
10.3 Survival
Provisions regarding confidentiality, intellectual property, payment obligations, limitations of liability, and dispute resolution survive termination.
